Governance Principles
As the data centralized in the Open Web Repository is a great power, no person(s) shall have an exclusive right to control it. For reasons given, OMFICA is organized in such way that it is controlled by millions of Internet users and companies - OMFICA members.
Board of
Directors
Board of Directors is the key administrative body of the Company. It is elected online among and by the Committee members. The Board consists of minimum thirteen Directors: the attending Founder and delegated representatives from all Committees. The Board is directed by the Chairman who is selected from the number of Directors and responsible for holding Board meetings and General Meetings as well.

The Board of Directors is responsible for the appointment of Board Secretary and Working Group Heads, as well as for the approval of beneficiary and sponsorship contracts, large sum donations and other crucial issues.

OMFICA’s online election system gives an opportunity to any member to become a delegated representative to a Board of Directors. Any Internet user may apply for becoming an OMFICA member to have an influence on the company’s activities.



Committees The committees consist of committee members who are nominated and elected through online election system among the OMFICA members. Certain committee members are responsible for voting for or against the nominated candidates. Committee members’ number is not limited, but any company member may become a member of one of four committees only.

Either of four committees should delegate three representatives to a Board of Directors. Those Directors should be elected among given committee members. Moreover, the committee members can impeach credibility against any of delegated Director, and other members should vote for or against the proposition.

The Company’s committees are:

Business Committee undertakes the management of the Company’s business and marketing strategy.
Trustees Committee is responsible for the approval of membership applicants as well as for the settlement of beneficiary contracts.
Technical Committee controls the activities of Working Groups that are responsible for the Company’s open source initiatives/projects.
Content Committee is constituted from several Working Groups, which are responsible for the Open Web Repository content aggregation and validation.


Working
Groups
Working Groups (WG) are established to implement OMFICA’s open source projects. Only Technical and Content Committees may have WGs. Corresponding Committee Directors are responsible for WGs formation or suspension.

Either of Working Groups is directed by WG Head, who is appointed by majority resolution of the Board of Directors among the candidates proposed by corresponding committee Directors. WG members are selected among corresponding committee members. WG Head may recruit or remove group members solely.



Beneficiaries Beneficiaries are the companies and individuals approved by Trustees Committee to access Open Web Repository. OMFICA Beneficiaries have ftp accounts for downloading Open Web Repository snapshots and updates.

Beneficiaries are bound to pay service fee to reimburse the resources consumed by the OMFICA for providing such services.

In order to acquire access to Open Web Repository you should apply for becoming a Beneficiary.



Sponsors Any entity may express a will to become a sponsor of the OMFICA. For that purpose the entity shall apply for sponsorship and sign corresponding contract with OMFICA.

There are assumed two sponsorship categories: Associate Sponsors and Premium Sponsors. These categories are assigned by the Board of Directors in accordance with sponsorship contracts' terms and conditions.

OMFICA is obliged to publish information about its Sponsors on the official web site of the company. Moreover, the logos of Premium Sponsors shall be placed on the first page.
